Scouten, Ramey Discuss Acquisitions at National Health Law Conference

Two PYA executives are sharing thought leadership on distressed healthcare acquisitions and aligning cultures during acquisitions at the American Health Law Association (AHLA) 2024 Health Care Transactions conference, held April 15-17 in Nashville. The AHLA is the nation’s largest, nonpartisan, and nonprofit educational organization devoted to legal issues in the healthcare field. The annual conference is the premier gathering for counsel, compliance professionals, consultants, and private equity professionals to stay updated on legal, regulatory, and business issues related to mergers, acquisitions, joint ventures, and other transactions.

On April 16 and 17, Jessica Scouten, Director of Forensic Services and Senior Manager of Healthcare Consulting, will present “Why You Should Learn the Playbook: Know the Game Plan for Distressed Acquisitions and Divestitures” with Ryan Cochran, Member, Epstein Becker & Green, and Megan Preusker, Member, Mintz, Levin, Cohn, Ferris, Glovsky and Popeo. The group will share leading indicators of distress and provide considerations for due diligence prior to the acquisition of a distressed company. They will explain economic terms and the framework of risk shifting, as well as the use of stalking horse bidding and private sales.

On April 17, Michael Ramey, Managing Principal of Strategic & Transaction Solutions, along with Alexis Angell, Shareholder, Polsinelli, P.C., and Daniel Peters, Senior Vice President and General Counsel, The University of Kansas Health System, will present “The Secret Sauce – Aligning Cultures, Mission, Operations, and Incentives in Academic Health Acquisitions of Community-based Hospitals and Medical Groups.” By examining trends in such acquisitions, they will explore best practices of integrating different cultures, missions, operations, incentives, and governance structures; the creation of the letter of intent and purchase agreement; the alignment of medical staffs; and considerations in compensation and benefits structures.
