Warning to Businesses of Annual Minutes Scam

A firm called Corporate Records Service is contacting Tennessee businesses in an attempt to collect a $125 fee to fill out a corporation’s “Annual Minutes Form.” The mailer is causing confusion for Tennessee corporations due to its appearance as an official document. Corporate Records Service is not registered, affiliated, or associated with the Tennessee Secretary of State.

However, the Secretary of State’s office recently mailed official annual report notices to Tennessee corporations, which are required to file these annual reports with the Tennessee Secretary of State along with a $20 filing fee. Do not confuse these legitimate annual report requests with unlawful requests for Annual Minutes.

Tennessee Secretary of State Tre Hargett said, We can confirm that Corporate Records Service is not a business entity on file with our office. I strongly advise corporations to exercise caution before providing their private and confidential information or credit card information to this or any company that is representing itself in this manner.

Reports of similar mailings have surfaced in other states including Florida, Georgia, Idaho, Illinois, Maine, New York, Texas, and Washington.
